Driver Terms & Conditions

Driver Services Agreement | Microlight Enterprises Ltd trading as ML Transfers | Version 1.0 | Effective 29 September 2026

1. Purpose and parties
This Driver Services Agreement (‘Agreement’) sets out the terms on which a driver may receive and carry out private hire bookings allocated by Microlight Enterprises Ltd trading as ML Transfers (‘ML Transfers’ or ‘the Operator’). It must be read together with any written operating procedures, safety policies and booking instructions issued by ML Transfers.

2. Licensing and eligibility
Before receiving work, the driver must provide evidence of all licences, permissions and documents required for the work to be carried out lawfully, including a valid private hire driver licence, a properly licensed private hire vehicle where applicable, appropriate hire-and-reward insurance and any right-to-work evidence required by law. The driver must immediately notify ML Transfers of any suspension, revocation, expiry, restriction, investigation or material change affecting any licence, insurance or legal entitlement relevant to the work.

3. Bookings
For bookings accepted by ML Transfers under a PHV operator license, a driver must only carry out the booking if the driver and vehicle are appropriately licensed for that work. The driver must not accept an unbooked passenger, ply for hire, use a taxi rank or represent a private hire vehicle as a taxi.

4. Operator contracts with passengers
The contract for a booking accepted by ML Transfers is between ML Transfers and the person making the booking. ML Transfers contracts with the passenger as principal. The driver must not state or imply that the passenger’s transport contract is with the driver instead of ML Transfers.

5. Accepting and carrying out allocated bookings
The driver may only carry out a booking after it has been allocated or otherwise lawfully provided through ML Transfers. The driver must follow the confirmed collection and destination details, promptly report material changes, and must not transfer, sell or subcontract an ML Transfers booking to another driver without the Operator’s prior approval.

6. Driver and vehicle information
The driver must keep ML Transfers supplied with accurate and current information required for booking confirmations, records and regulatory submissions. This may include the driver’s name, licence number, photograph, contact details, vehicle registration mark, vehicle licence details and insurance information. The driver authorises ML Transfers to use and disclose this information where reasonably necessary to meet legal, licensing, booking, safety and customer-service obligations.

7. Vehicle condition and documents
The driver must ensure that the vehicle used for an allocated booking is roadworthy, clean, safe and properly licensed and insured for the journey. Required licence discs, identifiers and documents must be displayed or carried as required. The driver must not use a vehicle for an ML Transfers booking if any required licence or insurance has expired or ceased to be valid.

8. Passenger service and conduct
The driver must behave professionally, lawfully and respectfully. Discrimination, harassment, threatening conduct, smoking in the vehicle where prohibited, unsafe driving and inappropriate contact with passengers are not permitted. The driver must comply with reasonable booking instructions and must protect passenger confidentiality.

9. Disabled passengers and assistance dogs
The driver must comply with applicable Equality Act 2010 duties, including duties relating to disabled passengers, mobility assistance, wheelchairs where applicable, and assistance dogs. The driver must not impose an additional charge because a passenger is disabled or requires assistance. A driver relying on a lawful medical exemption must hold and display or carry the required exemption evidence.

10. Fares, charges and payments
The driver must not independently alter a fare, demand an unauthorised payment or impose an additional passenger charge. Any change to the fare or extra charge must be handled through ML Transfers or be expressly authorised by the Operator. Cash or other payments collected on behalf of ML Transfers must be accounted for in accordance with the Operator’s instructions.

11. Booking records and cooperation
The driver must provide complete and accurate information needed by ML Transfers to maintain booking, driver, vehicle, complaint and other records required by law. The driver must cooperate promptly with reasonable compliance checks, audits and requests for documents.

12. Safety, fatigue and fitness to drive
The driver must not drive when tired, unwell, impaired by alcohol or drugs, or otherwise unfit to drive safely. The driver is expected to take adequate rest and breaks and to notify ML Transfers if fatigue or another condition makes it unsafe to carry out an allocated booking. A driver must comply with all road-traffic laws and safety requirements.

13. Incidents, collisions and emergencies
Any collision, injury, allegation, police involvement, safeguarding concern, serious passenger complaint, vehicle defect or other significant safety incident connected with an ML Transfers booking must be reported to ML Transfers as soon as it is safe to do so. Emergency services must be contacted where required.

14. Complaints and investigations
The driver must cooperate with ML Transfers in investigating complaints and regulatory matters. The driver must preserve relevant information and provide a truthful account and supporting evidence when reasonably requested. ML Transfers may temporarily stop allocating work while a serious safety or compliance issue is investigated.

15. Lost property
The driver must check the vehicle after journeys where reasonably practicable and must report any found property to ML Transfers promptly. Lost property must be handled in accordance with the Operator’s procedure and must not be retained for personal use.

16. Safeguarding
The driver must report safeguarding concerns involving children or vulnerable adults promptly to ML Transfers and, where there is an immediate danger or criminal concern, to the appropriate emergency or law-enforcement service. The driver must comply with any safeguarding instructions or training reasonably required by the Operator.

17. Data protection and confidentiality
The driver must only use passenger and booking information for carrying out the allocated journey and related lawful purposes. Passenger contact details, addresses, travel information and other personal data must not be copied, retained, disclosed or used for personal marketing except where authorised or legally required.

18. Contacting passengers and non-solicitation
The driver may contact a passenger only as reasonably necessary to perform an allocated booking or deal with an immediate journey-related issue. The driver must not use passenger information obtained through ML Transfers to divert future bookings away from the Operator or to market private services directly to the passenger.

19. Taxes and legal status
Each party is responsible for complying with the tax, National Insurance and reporting obligations that legally apply to it. Nothing in this Agreement is intended by itself to determine the driver’s employment, worker or self-employed status; legal status depends on the actual working arrangements and applicable law. The parties must not describe the arrangement in a way that is inconsistent with how it operates in practice.

20. Insurance and losses
The driver must maintain all insurance legally required for the journeys undertaken and must notify the insurer of matters that must be disclosed under the policy. Nothing in this Agreement excludes any liability that cannot lawfully be excluded.

21. Suspension and ending the arrangement
ML Transfers may stop allocating bookings immediately where a licence or insurance is invalid, where continued allocation could be unlawful, or where there is a serious safety, safeguarding, dishonesty or compliance concern. Either party may end the working arrangement in accordance with any notice period separately agreed in writing. Ending the arrangement does not affect obligations that arose before termination, including confidentiality, record cooperation and accounting for payments.

22. Changes and policies
ML Transfers may update operational procedures where reasonably necessary to comply with law, safety obligations or changes to the service. Material contractual changes should be communicated in writing.

23. Governing law
This Agreement is governed by the law of England and Wales. Any dispute will be dealt with by a court having jurisdiction under applicable law.
